Course Description

This course introduces students to corporate law,and shows how paralegals can work effectively in this specialty. Emphasis is placed on practical aspects of partnership and corporation law, including procedures for forming and dissolving California partnerships and corporations. Topics include: *Formation of partnerships, LLCs and corporations *Operating agreements, articles of incorporation, and bylaws *Shareholders' and directors' meetings *Corporate equity and debt securities *Regulation of securities *Mergers and acquisitions *Foreign corporations (if time permits)
